Reporting to the Senior Vice President, Corporate and Clinical Support Services, you are the key legal advisor to the CEO and executive team, providing strategic legal counsel on regulatory compliance, statutory requirements, and organizational governance. You are an accomplished business leader with extensive in-house legal experience, sharp legal expertise and strong understanding of organizational needs. As a trusted advisor, you will guide both internal and external stakeholders, exercising sound judgment and anticipating future challenges. Your ability to manage risk, negotiate complex solutions, and make informed decisions will ensure the long-term success of the organization. Excellent communication skills enable you to build positive relationships with local, provincial, and national representatives and stakeholders, including government departments and officials. This role oversees and coordinates input from other legal advisors, including those in Alberta Health and Justice and Solicitor General, and external legal counsel as required for specialized expertise. Description:
The General Counsel & Corporate Secretary (General Counsel) oversees all legal services for the organization. The position is a strategic advisor to the CEO, executive leadership team, and Chair on all legal matters, including but not limited to, health law, labour relations and employment matters, corporate/commercial matters, privacy and freedom of information policy, legal trends, risk, and general regulatory compliance. The General Counsel works in collaboration with the Legal and Privacy teams in the Health Shared Services Provincial Health Corporation (HSS) to ensure AHS receives timely expert advice on all legal and privacy matters. The General Counsel will assess legal liability and provide risk management and mitigation strategies for AHS and work with HSS and external legal counsel where necessary. This role is responsible for maintaining the integrity and effectiveness of organizational governance and ensuring compliance with all relevant policies and procedures, including those identified in health agency service agreements. In addition to managing the flow of legal advice and recommendations throughout the organization to ensure consistency and compliance in all areas, this role works with HSS to provide advice and direction on all litigation or potential litigation by or against the organization. The General Counsel ensures the organization meets its commitment to a standard of conduct that preserves and enhances public confidence in the integrity, objectivity, and impartiality of its clinical and business activities. The General Counsel also acts as Corporate Secretary and Advisor to the Board/Chair.

The successful candidate must possess a J.D. or LL.B and be a member in good standing with the Law Society of Alberta. At least fifteen (15+) years of legal experience. A combination of qualifications and experience may be considered.
Additional Required Qualifications:
With demonstrated leadership abilities, including comfort with decision-making and exercising sound judgement, you have experience providing expert counsel to senior organizational leaders. Your communication skills demonstrate your ability to influence, negotiate, and mediate resolutions to complex situations, and you have experience communicating effectively with a wide variety of audiences including internal and external stakeholders. You have experience working with government ministries, elected officials, and the media. Along with your excellent ability to develop organization strategy and planning, you possess experience in leading strategic initiatives and managing change to achieve positive results. The successful candidate displays an ability to foster partnerships to achieve organizational goals, and models innovation and creativity.
Preferred Qualifications:
Experience in an in-house healthcare legal department or law firm serving the healthcare sector is highly preferred. Experience in the areas of health law, labour relations and employment matters, corporate/commercial matters, contractual language, privacy and freedom of information policy, legal trends, risk, or general regulatory compliance is preferred.
